Beverly, Mass. – Axcelis Technologies, a Beverly-based provider of equipment for the semiconductor industry, announced on Thursday that it will sell its 50% joint venture interest in Japan-based SEN Corp. to Sumitomo Heavy Industries for about $133 million. As part of the transaction, Axcelis and SEN will enter into cross licenses that will allow the two companies to continue to use certain patents and technical information owned by the other to make and sell ion implant systems on a royalty-free, perpetual basis. “This transaction serves the best interests of Axcelis shareholders as it enables us to fulfill our senior debt obligations and gives us greater financial flexibility during this difficult economic climate and semiconductor industry downturn,” said Mary Puma, chairman and CEO of Axcelis.

Danvers, Mass. -- Babcock Power, a Danvers-based supplier of technology to the power generation industry, announced on Thursday that it has formed a new company with Arkansas-based ThermoEnergy that will develop and commercialize a new carbon capture power plant design. Based on high pressure oxy-fuel chemistry, ThermoEnergy’s “TIPS” technology combines the combustion of carbonaceous fuels, including coal, oil, natural gas, municipal waste and biomass, into energy with near-zero air emissions and no smoke stack. It effectively captures carbon dioxide (“CO2”) in clean, pressurized liquid form ready for sequestration or beneficial reuse, such as enhanced oil recovery, according to the announcement. “The progression of the TIPS technology coincides well with the timeline of anticipated forthcoming CO2 legislation,” stated James F. Wood, President and CEO of Babcock Power Inc. “As we evolve TIPS into a commercial scale product utilizing pilot plant results, Babcock-Thermo Carbon Capture will be well positioned to compete in the multi-billion dollar CO2 capture market.”

Founded in 1911, Bessemer specializes in venture capital investments, but also participates in late-stage financings and sometimes makes small, seed-stage investments below $1 million. Revealing the Secrets to Help YOU Profit from Penny Shares

Dear Steve Daley,

I read about a forthcoming media visit to a company called Sagentia. Clearly this is designed to raise Sagentia's profile, so to get in ahead of the crowd I have been doing a little investigation into this company – and I have uncovered one very intriguing fact.

It is this. At the last balance sheet date, of 30 June, Sagentia's assets less its liabilities were valued at £15.5m – which compares to the value placed on the company by the collective wisdom of the Stock Market of a mere £3.3m. To put it another way if you buy a shares at today's price of 15p you get your hands on assets that are worth 73.4p.

Now there are assets and there are assets. There are the assets that you can reach out and touch – buildings, vehicles, desks and PCs for example. And there are assets such as 'goodwill' which as the term 'intangible' implies are not made from solid stuff.

A hugely undervalued company with strong asset backing

Call me old-fashioned but when it comes to assets I prefer solid stuff. And in the case of Sagentia we have one especially solid item in the form of a 79,000 square foot building at a place called Harston Mill. This is near Cambridge in an area known as 'Silicon Fen' inhabited by the many high tech businesses that draw their inspiration from that fine old centre of learning. Sagentia itself occupies about a half of this building while the other half contains its tenants. This building accounts for £14m out of Sagentia's total assets of about £21m, from which we must deduct its bank debts of £6m.

In theory one could buy the whole of Sagentia at the current market price, sell off all of its assets apart from the building, use the proceeds to pay off the banks and be left with a £14m office building for which one has paid £3m. Somehow I doubt that this will happen, and you have probably already spotted one flaw in this master plan, namely the fact that Sagentia is the building's biggest tenant. But still we have here, on the face of it, a hugely undervalued company with the strongest asset backing.

To understand how the share price had descended to this apparently absurdly low level, I delved a little further. Sagentia is, principally, a consultancy company giving advice on the exploitation of technology and on product development. In the last reported six month period, by which I mean the first half of calendar 2008, this activity generated revenue of £14.8m, upon which it made a gross profit of £1.2m.

Sagentia seems to be reasonably optimistic about the future, hoping that its customers will see the need to re-engineer products and processes in order to cut costs in the recession. It cites the instance of Apple which famously opened its retail stores in the teeth of the dot-com crash, hoping that companies will maintain research and development budgets so that they can hit the ground running when the economic recovery comes.

Although Sagentia's 'core' activity, which I take to be its consultancy arm, made losses in 2005 and 2006, it does now seem to have turned the corner, and this plus its gleaming office building should support a much higher share price. The problem though is that Sagentia has accumulated shareholdings of varying sizes in a number of technology companies that it has seen fit to back with shareholders' money.

It has had some successes. For Vodafone it has developed a mobile payments service now used in Kenya, Tanzania and Afghanistan. For the US giant Master Meter it has come up with a way of remotely and electronically reading the water meter. And it has helped bathroom shower maker Aqualisa to win a Queen's Award for Innovation for its digital shower controller.

Why I'm not ready to invest in this one yet

Unfortunately, though, there have some failures as well. This month, Turftrax which developed technology to monitor the absolute and relative positions of horses during races and to provide a scientific measure of the going, ran into heavy ground of its own after failing to secure vital finance. This could render Sagentia's 8% stake worthless while another of its investments, CMR Fuel Cells, in which it has an 8% stake announced plans this week to delist from AIM.

I do not know the full history here, but the value of Sagentia's net assets has fallen steadily over the last three years and at £15m is now a long way under the £46m that it raised when, under its previous name of the Generics Group, it raised £46m on its stock market listing in 2000.

So I need to find out more to convince me that this asset value will not be further whittled away by annual losses and dud investments. No doubt this is the precisely the message that will be given to the media cohorts this month.

But the Penny Sleuth is a sceptical fellow! He wants to learn more before buying into this share!
